These Terms and Conditions apply to all offers, order confirmations, services and deliveries by SWMS Systemtechnik Ingenieurgesellschaft mbH (hereafter referred to as SWMS).
Terms and Conditions of ordering party (hereafter referred to as „customer“) are not integral part of the agreement, even if SWMS does not expressly object to them.
Modifications, additions or cancellation of this agreement or other existing contracts must be made in writing.
Offers made by SWMS are conditional and non-binding after the term of acceptance named in the offer has expired. This applies in particular to prices, volume, delivery date, delivery availability and supplementary work.
The volume of services to be carried out by SWMS is solely defined by the order confirmation of SWMS and these Terms and Conditions.
SWMS reserves the right to deviate from the offer, respectively the order confirmation in the case of forcing legal or norms. Modifications in the course of technological progress remain reserved. Claims resulting from those cannot be invoked against SWMS.
The customer bears sole responsibility for the proper installation of all delivered hard- and software. The installation, training and briefing of the customer is not subject to the scope of service of SWMS. These services are executed only on the basis of a corresponding additional agreement and charged separately.
A general duty to provide advice – particularly regarding the selection of hard- or software – does not exist. Consulting on operational procedures are executed only on the basis of a corresponding additional agreement and charged separately.
The customer is obligated to check software or parts of software instantly after receipt and to inform SWMS immediately about any possible visible faults.
SWMS is entitled to part-deliveries and part-services, provided that reasonable interests of the customer are not contrary.
Prices are quoted plus packaging and freight cost. Decisive are the prices in the order confirmation plus the respective VAT (Value Added Tax). Deliveries and services, for which no prices have been fixed, are calculated according to current SWMS list prices at the time of service delivery.
SWMS is not bound to the agreed prices, if a longer delivery time than 4 months after the order confirmation date has been agreed on. In this case, current prices at the time of service delivery apply.
Deadlines, which have been given by SWMS, are binding, provided that no differing written agreements have explicitly been made.
Modifications or additions to orders result in an annulment of delivery times and deadlines, provided no differing agreements have been made.
All delivery promises and dates stay under reservation due to timely and correct self-delivery.
Delays in delivery and service, resulting from force majeure or other obstacles, for which SWMS carries no responsibility and which have a considerable impact on delivery or service – particularly breakdowns, strikes, administrative orders etc. – entitle SWMS to extend the delivery- or service deadline by the duration of the obstacle.
If the delivery of goods (hard- and software) is delayed upon request of the customer, the performance risk is transferred to the customer together with the cargo-notification by SWMS.
In case of default of acceptance by the customer and after a suitable grace period of 14 days at the most, SWMS is entitled to withdraw from the contract and/or claim damages in substitution to the service. In the event of SWMS claiming damages, the amount of damages is 30% of the total contract volume, unless the customer proves, that SWMS has suffered either few or no damages or SWMS proves greater damages.
The customer is familiar with the fact that by the current state-of-the-art, software cannot always be delivered impeccably in view of the diverse range of applications and their complexity. Particularly excluded are commitments referring to compability.
Provided that SWMS installs the software according to a separate agreement, the customer is obligated to check it immediately together with a SWMS employee. Providing the software complies essentially with the demands of the customer, the customer is committed to promptly declare acceptance.
SWMS may repair or replace products in order to remedy deficiencies at their discretion. Deficiencies can also be eliminated by SWMS through transfer of a new release. The customer has the right to demand a reduction of the purchase price or a withdrawal from the contract in case of definite failure of rework or replacement.
Warranty claims are to be asserted immediately and in writing, however no later than within the course of one year after the delivery date of the software. This notification must contain a detailed description of the defect. The delivery of an update or upgrade does not result in an extension of the warranty period for the overall system. After receipt of the complaint, SWMS will either give information on troubleshooting or take appropriate measures in order to remove the defect, e.g. transmission of data carriers or information sheets, which will enable the customer to eliminate the error.
Warranty is excluded, if the customer if the customer does not comply with the above paragraph 4.1 of its investigation and reprimand. If changes are made to the software by a third party or customer then the warranty is fully voided unless the customer can prove that the defect is not due to the change.
Warranty claims on the part of the customer become time-barred after one year from delivery of the software. In the cases described under no. 6.1, the limitation period starts with the dispatch notification by SWMS.
SWMS can be held liable – without limitation as to the amount of the damages – solely for damages, which have been caused by gross negligence by their legal representatives or executive employees or by severe organizational fault. The same applies to any damages resulting from injury to life, limb or health.
Apart from that, the reliability is limited to damages, which – due to the contractual use - are common and predictable, to damages in the event of culpable breach of cardinal contractual obligations and to damages, which caused by SWMS agents; either grossly negligent or deliberately without any essential contractual obligations.
Liability in the case of slight negligence (inter alia consequential damages) is limited to the amount of a providing fee for each claim.
A contributory negligence shall be attributed to the customer (e.g. insufficient data backup).
The above mentioned limitations of liability do not apply, if SWMS is liable according to product liability law. SWMS is obliged to inspect instructions and documents for mistakes only if subject to an additional agreement.
If nothing to the contrary has been agreed upon, payments are to be settled immediately after receipt of the invoice without deduction. In the case of a delayed payment, SWMS is entitled to demand default interest, amounting to 8 percentage points above the base interest rate according to § 247 BGB, unless the customer proves a smaller or SWMS a greater damage.
The customer is entitled to compensation, retention or reduction, even if complaints or counterclaims are evoked, only if SWMS gives their explicit consent or if counterclaims have been legally determined.
SWMS reserves title to the delivered hardware and the delivered program carriers until full settlement of all receivable exceeds of SWMS, whatever the legal grounds. This will also apply, if single or all claims by SWMS have been incorporated into a current account and the balance has been struck and accepted. With total acquisition of the title to the program carriers, the customer gains the rights of use specified under no. 11 in these Terms and Conditions.
As long as the reservation of right of ownership persists, pledging, security, renting or other transfers, affecting the securing of the reserved goods is only permitted with prior written consent of SWMS.
The customer is obligated to deposit the reserved goods for SWMS with commercial care and to insure it at his own expense against fire, water, theft and other risks of damage.
Should the buyer sell the goods delivered by SWMS under reservation of title, he cedes to SWMS all claims arising out of the sale, comprising the the amount of the value of the goods delivered under reservation of title, including all subsidiary rights. The customer is revocably entitled to the collection of these claims. On demand of SWMS, he is obliged to provide details on assigned claims and their debtors. SWMS is entitled to disclose the assignment towards the debtor of the customer.
For behavior by the customer that is contrary to the contract – especially delayed payment or expected suspension of payments - SWMS is entitled to take back the retention rights or, where necessary, to demand the assignment of any repossession claims of the customer against third parties. SWMS is entitled to utilize the reserved goods and to offset corresponding sales proceeds against any open claims resulting from the business relation.
With the retained right of repossession according to the previous paragraph, SWMS is entitled to collect the retention rights from the customer. The customer is obliged to grant access to the SWMS staff entitled to the collection of the retention rights during office hours, even without previous appointment.
The exercise of the rights from the retention of title or a return demand are not valid as a resignation of the contract.
SWMS retains the copy- and exploitation rights fort he delivered software, unless nothing to the contrary has been agreed on in written form. Protective rights on the program carrier or their packaging are to be respected; also by third parties.
With delivery of standard or individual software, the customer as a licensee, purchases a simple, indefinite, irrevocable right of use in such, that the software is only to be put into use for the contractual purpose. A duplication of software is not permitted.
The customer can purchase further copies of the manual at SWMS standard prices. He is not allowed to duplicate manuals or documentations.
The customer is not authorized to make the programs available to third parties without any prior written consent of SWMS. SWMS is not obligated to give their consent for this purpose.
The resale of software is principally permissible. The general condition is, that the customer will not keep any software and/or material and that any possibly made copies be demolished or transferred to the buyer. The customer has to make their client known to SWMS.
The single user license entitles the customer to the use on one single computer or one single workstation within a network. The network license entitles the customer to the use in one local computer network one network server together with the individually agreed number of single user licenses, which access common data on the server via the network.
The processing of the contractual software is inadmissible, unless there are mandatory legal provisions or contrary agreements have been made.
The decompilation or disassembly of the contractual software (Reverse Engineering) is also not permitted. SWMS reserves the right, to supply their customer with information on request and in return for reasonable compensation, which he requires in order to be able to establish the interoperability of the contractual software with other programs. Upon utilization of this information, the customer ought to respect the mandatory restrictions specified in § 69e (2) of the copyright law.
The customer engages himself to inform SWMS without any delay, in case of him being charged with a violation of commercial protection and copyrights by a contractual software product. Only SWMS is solely entitled to defend their customers against claims of the owner of such rights, provided that the violation is a direct result of a product delivered by SWMS.
SWMS endeavors to provide the customer with the right to use to the extent specified under no. 1. If this – due to economic reasons - proves to be impossible, SWMS will modify the product at their own discretion in such way that that the property right remains untouched or to take back the product, refunding the purchase price deducting a compensation for the services which have already been utilized.
Should the customer have modified the delivered product or integrated it into a system in such way that a violation of protective rights occurs, the customer is obliged to defend SWMS against or release them from claims of the owner of the violated right on their own expense.
The customer is not allowed to assign all or parts of claims from contracts withSWMSor to transfer any rights or liabilities resulting from contracts to third parties with without the consent ofSWMS. This also applies to warranty claims.
The customer authorizesSWMSto save, evaluate and process all received data within the framework of the commercial relationship in accordance with the Federal Data Protection Act (§28 BDSG).
Should individual or several provision of these Terms and Conditions be or become invalid in whole or in part, the validity of the remaining provisions and of the contract shall not be affected. This applies in particular to regulations, which prove to be contrary to the AGB law (= German law on Standard General Terms and Conditions) during subsequent examination.
All legal relationships established by this contract are subject to the law of the Federal Republic of Germany. The application of the UN Sales Convention is expressly excluded.
Place of performance of all delivery and service is SWMS in Oldenburg. The exclusive place of jurisdiction for all legal disputes with businessmen, legal persons under public law or with fund assets of the public law is Oldenburg, unless a different place of jurisdiction is mandatory by law.
